  1. TERMS AND CONDITIONS FOR TUTORS

    1. Terms and conditions of AypexEdiTech Private Limited, a company registered with The ROC of India, bearing CIN: U85500MH2024PTC419496, hereinafter referred to as (“We/Us/Our/AypexEdiTech/Aypex/Aypex educational resources”)
    2. Users are individuals that have signed up/registered to login and use the Aypex mobile application, software/s or website/s via the mobile application or websites/softwares owned and operated by AypexEdiTech Private Limited, hereinafter referred to as (“You/Your/Users”)
    3. Effective Date: 17.02.2024 [Seventeenth of February, Year: Two thousand and Twenty Four].
    4. These Terms and Condition govern your use of the Aypex App and constitute a legally binding agreement between you and AypexEdiTech Private Limited, a company registered with The ROC of India, bearing CIN: U85500MH2024PTC419496.
    5. By accessing or using the Aypex App, you agree to be bound by these Terms and conditions. If you do not agree with these Terms, please do not use the Aypex App or website: www.aypexeditech.com.

  2. Undertaking for Educators:

    1. Educators are individuals that have signed up/registered to login as Educators to use the Aypex mobile application, software/s or website/s via the mobile application or websites/softwares owned and operated by AypexEdiTech Private Limited, hereinafter referred to as: “You/Your/I/Me”.
    2. You agree to undertake all terms and conditions effective from date: 18.02.2024 [Eighteenth of February of year Twenty Twenty Four].
    3. You agree to take SMS, WhatsApp messages, and App notication service on your registered mobile number & you allow Aypex to track your mobile location for oce use any time until you are associated with Aypex.
    4. The purpose of the undertaking is to formalize and clarify expectations and relationships between all parties.
    5. This undertaking describes and conrms all terms and conditions as agreed by Educators.
    6. You understand that you are not directly/permanently employed by AypexEdiTech.
    7. You will conduct demo classes for every new assignment in order to get selected by the client/student. You know that AypexEdiTech is not bound to provide you clients or students & it is solely the matter of client selection & student availability.
    8. As a professional educator, you will not indulge in any malpractices such as: theft, inappropriate behaviour or activity, illegal activity, bypassing AypexEdiTech by directly conducting tuition or involving other/peer educators to conduct tuitions for the clients/students provided to you by AypexEdiTech.
    9. You will maintain your & AypexEdiTech's dignity and you will not establish personal relations with students, parents and associated educators or involve yourself in any of their personal matters.
    10. You will update & share tuition details on Aypex App or on any other platform prescribed to you by Aypex on a regular basis. If found inconsistent in providing promised services you are liable for deduction in your fee.
    11. You know that your fee is paid preferably by “online banking”.
    12. You know that AypexEdiTech does not facilitate advance fee and the fee is not released/disbursed without/if complete details of conducted classes are not posted, maintained & shared using methods prescribed by AypexEdiTech.
    13. Any outstanding payment will be freezed in case of misbehavior, unprofessionalism or any conict with students, parents, AypexEdiTech team or its associates.
    14. Once you get an assignment as a tuition, you will be bound to complete the assignment in the given tenure.
    15. You will not post false, tampered, incorrect details on the Aypex app, it will amount to legal consequences, penalties and appropriate legal actions against and to you.
    16. You are not supposed to conduct classes on holidays/weekends without the consent of the client, so as to complete the number of classes before the tentative date of assignment completion for the purpose of generating quick income or any other reason.
    17. You will not conduct more than 1 tuition in a day for a particular assignment without the consent of the parent/student/guardian.
    18. . If such extra sessions are required by the parents/students, you will make sure to ask for a written consent of the parent/student as well as a message on the Aypex app for your tuition.
    19. . As a responsible tutor, you will actively participate in practicing activities suggested to you by AypexEdiTech.
    20. You will not quit/abandon an assignment without the completion of the student's academic year. You will provide 1 month's notice period to the student before discontinuing the existing assignment/s.
    21. You will submit a duly signed 30 days notice to discontinue a particular assignment so as to not abandon/quit abruptly.
    22. You will ensure the ‘HANDING OVER & TAKING OVER’ of responsibilities when the new tutor is appointed in case of your discontinuation of a particular assignment
    23. A deduction in your fee will be applicable to the extent of the whole amount equivalent to your fee in case you conduct any classes less than the time duration promised by you.
    24. As a responsible tutor, you will ensure timely syllabus completion & exam preparation to fulll client expectations & you will not claim or promise to accomplish/achieve certain results as it proves to mislead in case of poor result.
    25. In case of uncertainty of result expectation, you will inform the client/parent/student about the approximate result to be expected.
    26. You will not contact the client/student/parent provided to you by AypexEdiTech after you have completed/discontinued an assignment.
    27. You understand that if you have any concerns, you will inform AypexEdiTech for resolution. You will not involve/inform other individuals, clients, parents, students to seek resolutions regarding your concern/s.
    28. AypexEdiTech is not responsible for any kind of dispute between client/student/parent and tutor for any matter. Any consequences or actions taken by the clients/parents/students will be your responsibility.
    29. You will not indulge yourself in any careless, wrong or any illegal malpractices/activities. You know that AypexEdiTech indemnies itself from such claims and allegations.
    30. Considering pandemic situations like the COVID-19, AypexEdiTech Pvt Ltd indemnies itself to any claims regarding the same. Please take Precautionary Measures to avoid the spread. Make sure to use masks, gloves, sanitizer & maintain distance.
    31. You hereby declare that you agree & understand all the above terms and conditions dened by AypexEdiTech Pvt Ltd and accept them as you use AypexEdiTech App or website or its services, after you login or sign up to AypexEdiTech App or website or associate with AypexEdiTech App or website.
    32. You understand that AypexEdiTech App or website is an educational platform and will facilitate through its mobile app, website and software/s and other sources.
    33. You authorize AypexEdiTech App or website to collect payment on your behalf in consideration of the educational services that may be provided/rendered by you.
    34. You agree that all the tax liability for this payment is yours.
    35. You understand and agree that AypexEdiTech App or website will deduct its service charges, applicable taxes, transactional charges, etc from the payment received or paid by Aypex
    36. You understand that the student has to pay the advance tuition fee on Aypex App or website using third party payment gateway services that is transferred to the bank account maintained by AypexEdiTech App or website. Your fee will be transferred to you after deducting AypexEdiTech App or website charges.
    37. . You agree to raise an invoice for an amount equal to the fee of particular educational services.
    38. You understand that the parent will authorize AypexEdiTech App or website to transfer into your account an amount equal to the invoice oated.
    39. You agree to comply with all applicable laws, exercise the same degree of professional competence, care, skill, diligence and prudence as is normally exercised by professionals in the educational, teaching, training or/and academic field
    40. You understand that it is illegal to act oppressive, hard handed, overbearing, inappropriate to/with any person directly or indirectly associated to/with you and especially with students or parents in general. You accept that it will solely be your responsibility in case of such an incident.
    41. You may receive client information from the AypexEdiTech App or website or directly through its representatives
    42. You understand and agree that such condential information received will only be used by you for the purpose of providing educational services.
    43. You understand that all AypexEdiTech App or website shall be and remain the sole and exclusive property of AypexEdiTech Pvt Ltd.
    44. You will, during the course of providing educational services, not make, use or permit to be used any of AypexEdiTech App or website property.
    45. You indemnify AypexEdiTech Private Limited from any and all claims, liabilities (including reasonable attorney fees) which arise directly from breach of any applicable law(s), by you or your negligent or wilful misconduct or action.
    46. You understand and agree that the relationship between Aypex App or website and you will not be considered as an employer and employee relation.
    47. You understand that the nal decision to choose a particular student for tuition is yours and yours alone.
    48. You understand and agree that you will provide your services to the student in the presence of at least 1 parent/guardian and preferably under active CCTV surveillance.
    49. Any direct connection with the students/parents that you come across on the Aypex App, in a way to provide your services to the student/parents directly and by by-passing Aypex or any such arrangement is prohibited. You understand that it violates the contract between you and Aypex App.

    51. You will be removed from the platform with immediate effect and without prior notice and you will be liable to pay penalties and you will be liable for all legal action initiated against you.
    52. Aypex holds the right to stop, forfeit and not make payment in case of violation of terms and conditions, attendance is not marked/posted, payment request is not raised via app or website or Aypex app is not installed.
    53. You know that you are not allowed to use your mobile phone during the tuition hours. You accept that your fee, as much as the balance amount in your account is deductible as penalty in case if a student raises such a concern.
    54. If you violate any terms and condition, You shall be liable for every kind of inquiry, penalty starting from INR Rs. 100000/- (INR Rupees One Lacs) & legal action initiated by AypexEdiTech Pvt Ltd.

  3. Undertaking for Student/Parent/Guardian/Client:

    1. Student/Parent/Guardian are individuals that have signed up/registered to login as Student/Parent/Guardian to use the Aypex mobile application, software/s or website/s via the mobile application or websites/softwares owned and operated by AypexEdiTech Private Limited, hereinafter referred to as (“You/Your/User”)
    2. For the purpose of these Terms and Conditions, The term "we", "us", "our" used anywhere on this page shall mean AYPEXEDITECH PRIVATE LIMITED, whose registered/operational oce is Flat number 4, Dwarkamai Society, Pramod Nagar, Gangapur Road, Nashik Nashik MAHARASHTRA 422013.

    9. Payment as fee for the services will be paid by you in advance and will be deducted as and when you receive goods or services by or through Aypex App or website.
    10. Fee or money paid by you will reect in the ‘payments’ option of Aypex App.
    11. Fees paid by you will be subject to deductions for service charges, platform charges (Apple/iOS) applicable taxes, transactional charges, etc.
    12. You understand that every tutor has or may have different charges and fees.
    13. You or any of your relatives/associates/colleagues shall not hire any tutor personally, that you have come across on Aypex App.
    14. You or your relatives/associates will not hire a tutor directly by by-passing Aypex App
    15. . AypexEdiTech App is not responsible for any conict/issue between educator and client/student.
    16. You are strictly requested not to make any private atmosphere when the tutor is conducting tuition. Do not leave any valuables such as Jewellery/Cash in open. AypexEdiTech App is not responsible for any kind of incident such as theft, crime, etc.
    17. Any kind of quarrel, abuse, or misbehavior is not allowed for both parties. In case of such an incident, the services will be discontinued with immediate effect, penalties and any outstanding/balance amount will be forfeited.
    18. Tutors will be treated in a well mannered way. Any kind of misconduct or disrespect by the student/parents or relatives will cause the discontinuation of the service with penalties and any outstanding/balance amount will be forfeited.
    19. Considering COVID-19, AypexEdiTech Pvt Ltd indemnies itself to any claims regarding the same. Please take Precautionary Measures to avoid the spread. Make sure to use masks, gloves, sanitizer & maintain distance.
    20. If you violate any terms and condition, You shall be liablefor every kind of inquiry, penalty starting from INR Rs. 100000/- (INR Rupees One Lacs) & legal action initiated by AypexEdiTech Pvt Ltd.

  4. Your use of the Aypex mobile app for iOS, Android and website: www.aypexeditech.com and/or purchase from us are governed by following Terms and Conditions:

    1. The content of the pages of the above mentioned website and mobile app is subject to change without notice.
    2. Neither we nor any third parties provide any warranty or guarantee as to the accuracy, timeliness, performance, completeness or suitability of the information and materials found or offered on this website or Aypex mobile application for any particular purpose. You acknowledge that such information and materials may contain inaccuracies or errors and we expressly exclude liability for any such inaccuracies or errors to the fullest extent permitted by law.
    3. Your use of any information or materials on our website or mobile application and/or product pages is entirely at your own risk, for which we shall not be liable. It shall be your own responsibility to ensure that any products, services or information available through our website and/or product pages meet your specic requirements.
    4. Our website or mobile application contains material which is owned by and licensed to us. This material includes, but is not limited to, the design, layout, look, appearance and graphics. Reproduction is strictly prohibited, which forms part of these terms and conditions.
    5. All trademarks reproduced in our website or mobile application which are not the property of, or licensed to, the operator are acknowledged on the website. .
    6. Unauthorized use of information provided by us shall give rise to a claim for damages and will be a criminal offense.
    7. From time to time our website or mobile application may also include links to other websites or mobile applications. These links are provided for your convenience to provide further information.
    8. You may not create a link to our website or mobile application from another website or document without AYPEXEDITECH PRIVATE LIMITED’s prior written consent.
    9. Any dispute arising out of use of our website or mobile application and/or purchase with us and/or any engagement with us is subject to the laws of India .
    10. We shall be under no liability whatsoever in respect of any loss or damage arising directly or indirectly out of the decline of authorization for any Transaction, on Account of the Cardholder having exceeded the preset limit mutually agreed by us with our acquiring bank from time to time.

  5. Use of the AypexEdiTech App:

    1. Eligibility: You must be at least 18 years old and above to use the Aypex App. By using the Aypex app, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.
    2. Account Registration: You will have to create an account to access the Aypex App. You agree to provide accurate, current, and complete information during the registration process and to keep your account information updated.

  6. Services:

    1. The AypexEdiTech App facilitates the connection between tutors and students for private tuition sessions online or offline. We do not employ or endorse any tutors listed on the app and do not guarantee the quality or accuracy of their services.

  7. Payments

    1. After the Educator accepts a particular student’s class request, the student is then redirected to the payment gateway page.
    2. The student/parent/guardian is expected to make the payment of the educator as an advance along with the applicable taxes and service charges, platform charges, transaction charges, etc.
    3. The educator will be able to see if the student has made the necessary payment in the top right section of the on-going or the chat feature of the Aypex app.
    4. Educators are advised not to conduct classes or provide any services without ensuring the adequate available balance of their particular student/s
    5. After each tuition session, payments are processed securely through the app. The fee of each particular session is deducted from the student’s account and credited to the educator’s account instantly after the educator posts their attendance
    6. The students can raise concerns regarding a particular class/session that has been conducted by using the ‘Raise concern’ button that is located just under every class detail/attendance, within 3 days from the date of attendance posted
    7. All payment records of the accumulated or remaining amount of educators and students are visible in the payment section of their proles on the app.
    8. The students and educators are free to withdraw their fee till the extent of available balance that is remaining or accumulated in their particular accounts by sharing their bank account details including account number, bank name, branch, IFSC, etc.
    9. AypexEdiTech Pvt Ltd is not responsible if the amount is transferred to an incorrect account based on the information that a user has shared from their device and their account.
    10. The withdrawal requests will be processed after 3 working days from the date of the withdrawal request posted.
    11. The payments are done by using the NEFT banking services and so the payment is securely processed.
    12. The withdrawal request and its stage is well dened in the withdrawal section of the Aypex app.
    13. The users as educators or students give authority to AypexEdiTech Pvt Ltd to transfer or make payments to the bank account provided by the users themselves.
    14. You agree to pay the fees associated with particular services as decided between the tutor and the student/parent/guardian along with all necessary charges and taxes as specied on the AypexEdiTech App. Payments are processed securely through the app, and you agree to provide accurate payment information and authorize us to charge for your chosen payment method for all applicable fees.

  8. Refund Policy:

    1. Users are entitled for a refund for the amount excluding the service charges and applicable transaction charges.
    2. Users can withdraw whatever amount there is in their particular accounts by sharing their bank account details.
    3. Any amount withdrawn can be realized in the user’s account within 7 Business days

  9. Cancellation and Refund:
  10. AYPEXEDITECH PRIVATE LIMITED believes in helping its customers as far as possible, and has therefore a liberal cancellation policy. Under this policy:
    1. AypexEdiTech provides educational services such as tuition, stationary, etc.
    2. For which the user may opt to avail the services as per their requirement/s.
    3. Cancellations will be considered only if the request is for a product or a service that is sold or rendered by Aypex App and if the request is made within 2 days of placing the order.
    4. However, the cancellation request may not be entertained if the orders have been communicated to the vendors/merchants and they have initiated the process of shipping them.
    5. In case of receipt of damaged or defective items please report the same to our Customer Service team. The request will, however, be entertained once the merchant has checked and determined the same at his own end. This should be reported within 15 days of receipt of the products.
    6. In case you feel that the product received is not as shown on the Aypex app or website or as per your expectations, you must bring it to the notice of our customer service within 7 days of receiving the product. The Customer Service Team after looking into your complaint will take an appropriate decision.
    7. In case of complaints regarding products that come with a warranty from manufacturers, please refer the issue to them.
    8. In case of any Refunds approved by the AYPEXEDITECH PRIVATE LIMITED, it’ll take 15 days for the refund to be processed to the end customer.

  11. User Content:

    1. License: By uploading, transmitting, or sharing any content on the Aypex App, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in connection with the operation of the app and our business.
    2. Ownership: You refrain ownership of any content you upload, transmit, or share on the Aypex App other than your personal information. However, by using the Aypex app, you acknowledge and agree that other users can/may view, copy and share your content.

  12. Privacy Policy:

    1. Your use of the Aypex App is subject to our Privacy Policy, which governs the collection, use, and disclosure of your personal information. By using the Aypex App, you give consent to the terms of our Privacy Policy.
    2. If you are a user and you have any questions or concerns about this Privacy Policy or our privacy practices, kindly use the “Register Complaint” option in the ‘Help’ section of the Aypex App.

    4. By using the AypexEdiTech App, you signify your acceptance of these Terms and Conditions and this Privacy policy. If you do not agree to this, please do not use the Aypex app.

  13. Intellectual Property:

    1. Trademarks:All trademarks, service marks, logos, and trade names displayed on the Aypex App are the property of their respective owners and can not be used without permission.
    2. Copyright: All content on the Aypex App, including text, graphics, images, and software is protected by copyright and other intellectual property laws. You may not reproduce, modify, distribute, or display any content, process or ow of the operations of/from the Aypex App without the duly signed and certied written consent by AypexEdiTech Pvt Ltd.

  14. Limitation Of Liability:

    1. To the fullest extent permitted by law, AypexEdiTech Pvt Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including and not limited to loss of prots, data, goodwill, arising out of or in connection with your use of the Aypex App.

  15. Governing Law:

    1. These Terms shall be governed by and construed in accordance with the laws of the jurisdiction of Nashik, Maharashtra, India, without regard to its conict of law principles.
    2. Changes to These Terms: AypexEdiTech Pvt Ltd reserves the right to update or modify these Terms at any time without prior notice. Any changes will be effective immediately upon posting the updated Terms on the Aypex App, website and/or software/s. Your continued use of the Aypex app after the posting of changes constitutes your acceptance of such changes.

  16. Glitches, Errors, and Payment Processing:

    1. Payment issues due to glitches: In the event of a technical glitch affecting payment processing, users should report the issue immediately via our support channels. If a payment is unintentionally processed incorrectly or is shown on the app incorrectly due to a system error,we will take steps to rectify and revert the error. Users are encouraged to review all tuition payment details carefully.

  17. Complaint Redressal Process:

    1. At Aypex app, we are committed to providing a seamless experience. If you encounter any issues or glitches, or have concerns about tuition details, payments, or any other services, we have a dedicated complaint redressal process. Your satisfaction is our priority, and we are here to resolve any issues you face in a fair and timely manner.
    2. How to File a Complaint?

      2. Click on the top left “Menu” button
      3. Click on “Help”
      4. Click on the top right “Message” icon
    3. Provide Details: When submitting your complaint, please include:
      1. I. A clear description of the issue or glitch.
      2. Any relevant error messages
      3. Your user ID or account details.
      4. The time and date of the incident.
      1. Acknowledge Receipt: Once your complaint is submitted, you can view the status of the same by clicking on the “clock” icon at the top right section of the same “Register complaint” page.

      We aim to resolve all complaints within 15-30 days from the date of receipt. We will provide updates regarding the status of your complaint. In case the resolution time exceeds this, we will notify you of the delay and provide an estimated timeframe for resolution.

If the complaint is found to be valid, we will take appropriate action, which may include correcting the issue, providing a refund, or any other suitable compensation. If the complaint is not upheld, we will provide a clear explanation for our decision. In such an instance, we will give reference to our T&C mentioned herein and so it will be deemed applicable and users are expected to abide by our decision accordingly
    9. Alternative Dispute Resolution: If you are not satisfied with the resolution provided, you may seek further assistance through alternative dispute resolution (ADR), including mediation or arbitration.
    10. If your matter is considerably of larger affects, we may approach a legal arbitrator for resolution. The cost of which is to be incurred by the user themselves

      4. Security: All data shared through our app, especially payment and personal information, will be handled with the highest levels of encryption and security.
    4. Quality Control Procedures: To maintain the quality of our app, we implement the following procedures:
      1. Regular Testing: Our app undergoes continuous testing and quality assessments to ensure the platform functions correctly and reliably.
      2. User Feedback: We actively gather and evaluate feedback from users to identify areas of improvement and address potential issues.
      3. Error Reporting: We maintain a system where users can report any issues, bugs, or discrepancies they experience within the app. These reports are reviewed promptly by our quality control team

Educator training program: it is highly recommended to students/parents to interact only with tutors with a “green tick badge” as these tutors have been oriented with all necessary steps and methods to maintain utmost professionalism. And hence, we do not tolerate complaints regarding tutors without the “green tick badge”.
    5. Handling Quality Issues: If you experience any issues with the quality of our services, such as errors in tuition details, payment failures, or bugs, please follow these steps:
      1. Report the Issue: Submit your complaint via our support channels
      2. Investigation: Our quality control team will investigate the issue to determine the root cause and ensure that corrective action is taken.
